1. Agreement to Terms

By accessing or using the Coderzen website, services, or any applications made available by Coderzen (together, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Coderzen provides web development, mobile application development, UI/UX design, and related digital services ("Services") to clients. The specific deliverables and scope of work for each project will be outlined in a separate agreement or service order.

3. Account Registration

To use certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. Payment Terms

Payment terms will be specified in individual project agreements. Unless otherwise stated:

All prices are in US dollars
A deposit may be required before work commences
Final payment is due upon project completion and before final deliverables are released
Late payments may incur additional fees

5. Intellectual Property Rights

Upon full payment, clients receive ownership rights to the final deliverables as specified in the project agreement. Coderzen retains the right to:

Display completed work in its portfolio
Use non-confidential aspects of the project for promotional purposes
Retain ownership of pre-existing intellectual property

6. User Content

You retain ownership of any content you submit through our Services. By submitting content, you grant Coderzen a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content in connection with providing and promoting the Services.

7. Prohibited Activities

You agree not to:

Use the Services for any illegal purpose
Infringe on the intellectual property rights of others
Attempt to gain unauthorized access to any portion of the Services
Use the Services to transmit harmful code or conduct denial of service attacks
Engage in any activity that interferes with or disrupts the Services

8. Limitation of Liability

Coderzen shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, or goodwill, resulting from your access to or use of, or inability to access or use, the Services.

9. Indemnification

You agree to indemnify and hold harmless Coderzen and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your use of the Services or your violation of these Terms.

10. Term and Termination

These Terms remain in effect while you use the Services. Coderzen may terminate or suspend your access to the Services at any time, without prior notice, for conduct that violates these Terms.

11. Changes to Terms

Coderzen reserves the right to modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of these Terms and/or by posting notice on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.
